Dear MSI Customer,

We are pleased to inform you that Molecular Simulations Inc. has signed a definitive agreement to merge with Pharmacopeia, Inc. Pending regulatory approval and other closing conditions, completion of the merger is anticipated within 75 to 120 days. As a wholly-owned subsidiary of Pharmacopeia, MSI will continue to focus on the research, development, and support of molecular modeling, simulation, and informatics software for the life and materials sciences. Pharmacopeia is a leader in the field of drug discovery and design using combinatorial chemistry. Their proprietary ECLiPS(TM), or Encoded Combinatorial Libraries on Polymeric Support, technology coupled with their high throughput screening capabilities enables the rapid creation and evaluation of very large libraries of compounds. More than 3.7 million individual small molecules have been synthesized by Pharmacopeia to date.

Coupling Pharmacopeia's combinatorial chemistry, high throughput screening, and drug discovery capabilities with the cheminfomatics capabilities of MSI's simulation tool for molecular biology through lead formulation, we will provide our Life Sciences customers with a comprehensive chemistry and software platform for accelerating the discovery and development process. Our software customers will receive the benefit of more thoroughly validated methods, while our chemistry customers will receive the benefit of more highly optimized libraries.

MSI maintains its commitment to the chemicals and materials sciences sectors, which will benefit from our expanded R&D agenda. This partnership will also present the opportunity to create novel data management capabilities and to explore combinatorial approaches to materials synthesis, screening, and characterization.
